These Complimentary Uber One Monthly Membership Terms and Conditions (“Complimentary Membership Terms”) together with the Terms and Conditions for Renewable Passes and Uber Terms of Use, Privacy Policy, Uber’s Community Guidelines and Uber Cash Purchase Agreement incorporated therein (collectively, the “Uber Terms”) govern the enrollment and use of the limited time promotional complimentary Uber One monthly membership (currently $9.99/month plus taxes) of up to 6 or 12 consecutive months (based on card type as shown in the offer) (“Complimentary Uber One Membership”) offered by Uber Portier Canada Inc. (together with its parent, subsidiaries and affiliates) (collectively, “Uber”). In the event of any conflict between these Complimentary Membership Terms and the Uber Terms, these Complimentary Membership Terms shall govern as applied to the subject matter herein. Subject to the foregoing, undefined, capitalized terms in these Complimentary Membership Terms will have the meaning set forth in the Uber Terms. Please fully review these Complimentary Membership Terms and Uber Terms carefully to understand this offer.

This offer is only available to (each, an “Eligible Card”): (i) those cardholders of the TD® Rewards Visa* Card, TD® Platinum Travel Visa* Card, TD® First Class Travel Visa Infinite * Card and TD® Business Travel Visa* Card, with an account that is open with active charging privileges and is not lost, stolen, closed or fraudulent, and (ii) those cardholders of a TD Access Card with Visa Debit* that is not lost, stolen, closed or fraudulent and where such TD Access Card with Visa Debit* is linked to a new TD Unlimited Chequing Account, TD All-Inclusive Banking Plan, TD Every Day Chequing Account or TD Student Chequing Account (each, a "TD Chequing Account"), opened between May 23, 2023 and May 23, 2024. Cardholders who already have a TD Chequing Account as of May 23, 2023, or cardholders who had a TD Chequing Account that was closed on or after May 23, 2022 are not eligible for this offer. The list of Eligible Cards may be amended at any time without notice.

To participate in this offer, a cardholder of an Eligible Card (an “Eligible Cardholder”) must enroll (“Participating Cardholder” or “you”) any time prior to 11:59 PM EDT, May 23, 2024 (the “Enrollment Window”). Attempted enrollment outside the Enrollment Window will not qualify for a Complimentary Uber One Membership. Eligible Cardholders that have an existing active auto-renewing Uber One membership qualify and may enroll in this offer. Once enrolled in the Complimentary Uber One Membership, a Participating Cardholder will not be charged the monthly membership fee for their Complimentary Uber One Membership for up to 6, or 12 consecutive months (as shown in their offer) (the “Complimentary Membership Benefit Window”). If a Participating Cardholder has an existing active auto-renewing Uber One membership at the time of enrollment in the Complimentary Uber One Membership, then such Cardholder’s Complimentary Uber One Membership will commence as of the first day of next billing cycle for the existing Uber One membership.

To enroll in this offer, an Eligible Cardholder must: (i) download or update to the latest version of the Uber App or Uber Eats App; (ii) once the app is downloaded or updated, the Eligible Cardholder must sign into their existing Uber account or sign up to create a new account; (iii) during the Enrollment Window, add an Eligible Card (or already have an Eligible Card) as the method of payment in their Uber Account; (iv) be presented with the Complimentary Uber One Membership offer in the Uber App or Uber Eats App; and (v) signify acceptance of the offer by following the activation instructions accompanying the offer. Once these steps are fully completed, such Eligible Cardholder will be enrolled as a Participating Cardholder in the Complimentary Uber One Membership (currently $9.99/month membership fee plus applicable taxes) for the applicable Complimentary Membership Benefit Window. For avoidance of doubt, Eligible Cards added to an Eligible Cardholder’s Uber account through a third party such as Apple Pay or PayPal will not qualify and will not be eligible for the Complimentary Uber One Membership offer.

By enrolling in this offer, you understand that Uber will share personal data with TD about you in order to promote and enable the Uber One Complimentary Membership program. The shared data will be protected in accordance with Uber’s Privacy Notice and TD’s Privacy Policy. The sharing will continue as long as your accounts are linked. If you unlink your accounts, the sharing of data will stop, and Uber will delete the data they collected about you from TD while the accounts were linked, unless continued retention is permitted or required by law.

Once enrolled, a Participating Cardholder will receive a Complimentary Uber One Membership up to the applicable Complimentary Membership Benefit Window (as shown in your offer) beginning on the date of enrollment in the offer. To receive the Complimentary Uber One Membership benefits more fully described on the Uber One landing page, you must use the Eligible Card used to enroll in the offer for purchasing eligible deliveries or trips in Canadian cities where Uber Eats or Uber Rides is available. It may take up to 48 hours for the Complimentary Uber One Membership to be available for use after enrollment.

When you enroll in this offer, you understand that Uber One is an automatic monthly renewal subscription and, until canceled by you, will automatically renew each month in accordance with the Terms and Conditions for Renewable Passes and agree that, at the end of your applicable Complimentary Membership Benefit Window, the selected payment method in your Uber App or Uber Eats App will be auto-billed at the then current Uber One Rate (currently $9.99/month plus taxes membership fee), and will continue to be auto-billed at the then current Uber One Rate until you elect to cancel your Renewable Membership. This means that at the end of your applicable Complimentary Membership Benefit Window Uber will collect the then current Uber One Rate (currently $9.99/month plus taxes membership fee) by charging the selected payment method that Uber has on record in the Uber App or Uber Eats App for you without notifying you, unless notification is required by applicable law. You may confirm the date of your renewal within the Account Management Hub of the Uber One section in the Uber App or Uber Eats App. If you want to cancel your membership, you may do so within the Account Management Hub of the Uber One section in the Uber App or Uber Eats App up to 48 hours before your next scheduled payment. If you want to cancel within 48 hours of your next scheduled payment, please contact Uber support.

If you choose to opt out of your Complimentary Uber One Membership prior to the end of your Complimentary Membership Benefit Window by turning off the auto-renew functionality in the Uber App or Uber Eats App or if you cancel or remove your Eligible Card from your Uber account, your Complimentary Uber One Membership will be canceled at the end of the current month of your Complimentary Membership Benefit Window.

If you transfer to another Eligible Card, your Complimentary Uber One Membership subscription offer may change. If you transfer to another Eligible Card or your Eligible Card expires or is replaced, or your card details change during your Complimentary Membership Benefit Window, you may need to remove your previous payment card and add your new Eligible Card details to continue enrollment in the Complimentary Uber One Membership. If your payment card details change and you do not update your new Eligible Card details prior to your next billing cycle, you will be unenrolled from Complimentary Uber One Membership. Once you update your card details in the Uber App or Uber Eats App, you will need to re-enroll to continue your Complimentary Uber One Membership. The offer will still expire at the end of the original Complimentary Membership Benefit Window from the date you first enrolled in this offer.

If you add a new Eligible Card to your Uber App or Uber Eats App during the Enrollment Window, you will still only have access to one (1) Complimentary Uber One Membership per account and the offer will still expire at the end of the original Complimentary Membership Benefit Window from the date you first enrolled in this offer.

Eligible Cardholders are only entitled to receive this offer on one Uber account. If an Eligible Card is added to multiple Uber accounts, only the first Uber account to which the Eligible Card is added will be eligible for the offer. You will only be entitled to one Complimentary Uber One Membership.

The Complimentary Membership Terms and the Uber Terms (including the Terms and Conditions for Renewable Passes) are subject to change at any time without notice to you and The Toronto-Dominion Bank has no control over those changes.
